Acceptance of these Terms

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must stop using the Site. If you are accessing the Site on behalf of a company, you represent that you have authority to bind that company to these Terms.

Definitions

• "Kodexo Labs", "we", "our", and "us" mean Kodexo Labs LLC. and its affiliates.
• "You" and "your" mean the individual or entity using the Site.
• "Site" means kodexolabs.com and any subdomain or alias we publish.
• "Content" means text, code, designs, images, video, audio, data, and any other material on the Site.
• "User Content" means anything you submit to the Site or send to us through it (briefs, applications, comments, files).
• "Engagement Terms" means the Master Services Agreement, Statement of Work, Data Processing Addendum, NDA, and any other written contract governing a paid engagement between you and Kodexo Labs.

Eligibility

You must be at least 18 years old and legally able to enter into a contract in your jurisdiction to use the Site. If you are under 18, you may use the Site only with the involvement and consent of a parent or legal guardian, and only for permitted purposes such as exploring careers.

We do not knowingly accept business enquiries or job applications from individuals under 18 acting in their own right.

Use of the Site

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for lawful personal and internal business purposes. This licence does not include any right to:

• Modify, reverse-engineer, decompile, or extract source code from the Site
• Reproduce, distribute, publicly display, or sublicense any Content other than as expressly permitted
• Use automated tools (scrapers, bots, headless browsers) to collect data from the Site without our prior written consent, except for well-behaved search-engine crawlers
• Frame, mirror, or embed substantial portions of the Site on any other property
• Bypass any rate limits, security controls, or access restrictions
• Use the Site or any Content to train, fine-tune, or otherwise build a competing AI system or service without our prior written consent

We may suspend or terminate your access at any time, with or without notice, if you breach these Terms.

Intellectual property

The Site and the Content are owned by Kodexo Labs or our licensors and are protected by copyright, trademark, trade dress, and other intellectual-property laws.

"Kodexo Labs", the Kodexo Labs logo, "Kodexia", "Kodexia.ai", "TheAgentive.ai", and "New York App Devs" are trademarks of Kodexo Labs or its affiliates. You may not use these marks without our prior written consent, except to truthfully refer to Kodexo Labs in editorial or comparison contexts.

Third-party trademarks shown on the Site (including client logos in our portfolio and case studies) belong to their respective owners and are used with permission or under fair use.

Any feedback, comments, suggestions, or ideas you submit to us through the Site or any communication channel may be used by Kodexo Labs without restriction or obligation to you.

User content and submissions

You retain ownership of any User Content you submit to the Site.

By submitting User Content, you grant Kodexo Labs a worldwide, royalty-free, non-exclusive, sublicensable licence to use, reproduce, modify, adapt, and transmit that User Content solely for the purpose of operating the Site, responding to your enquiry, evaluating your job application, or performing under any Engagement Terms you sign.

You represent and warrant that you have all rights necessary to submit your User Content and that it does not infringe any third-party rights, breach any confidentiality obligation, or violate any law.

Do not submit:

• Confidential or sensitive information you are not authorised to share
• Personal data of third parties without their consent
• Material protected by intellectual-property rights of others without permission
• Unlawful, harassing, defamatory, or otherwise objectionable material

7Acceptable use

You agree not to use the Site to:

• Violate any applicable law, regulation, or contractual obligation
• Infringe the intellectual-property rights or privacy rights of others
• Distribute viruses, worms, ransomware, or any other malicious code
• Send unsolicited bulk communications ("spam")
• Probe, scan, or test the vulnerability of the Site, or breach any security or authentication measures
• Interfere with or disrupt the Site, including by overloading any infrastructure
• Impersonate any person or entity or misrepresent your affiliation
• Use the Site to train, fine-tune, or evaluate any machine-learning model unless you have our prior written consent
• Reproduce or republish substantial portions of the Site without our prior written consent

Third-party links and services

The Site links to third-party websites, services, and tools (including but not limited to LinkedIn, Twitter, GitHub, Clutch, Upwork, Google, Cal.com, HubSpot, and the AI assistants ChatGPT, Claude, Gemini, and Grok referenced in the "Discover more with AI" utility on /thank-you/). These links are provided for convenience. We do not control these third parties and are not responsible for their content, terms, or privacy practices. Your use of any linked third-party service is governed by that service's own terms.

Engagement Terms (services contracts)

These Terms cover use of the Site. They do not cover paid services delivered by Kodexo Labs. All services engagements are governed by a separately executed Master Services Agreement (MSA) and any Statement of Work (SOW) under it, along with any associated NDA, Data Processing Addendum, or IP Assignment Agreement.

Nothing on the Site constitutes a binding offer to perform services, a fixed price, or a guarantee of results. Brochures, marketing copy, case studies, and indicative pricing on the Site are non-binding and informational only.

Where there is a conflict between these Terms and executed Engagement Terms covering the same subject, the Engagement Terms control for the subject matter they cover.

Client logos, case studies, and marketing materials

Client names, logos, and case studies appear on the Site with permission from the relevant client or under industry-standard "right to publicise the engagement" clauses in our Engagement Terms.

If you are a current or former Kodexo Labs client and want a case study, logo, or testimonial removed from the Site, email contact@kodexolabs.com and we will remove or anonymise the reference within 14 business days, subject to any contractual rights that survive termination.

Metrics published in case studies are the values shared with us by the client or measured by Kodexo Labs during the engagement. We do not represent that the same metrics will be achievable for other clients or in other contexts.

Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

ANY INFORMATION ON THE SITE IS FOR GENERAL INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE PROFESSIONAL, LEGAL, FINANCIAL, OR REGULATORY ADVICE. YOU SHOULD CONSULT QUALIFIED PROFESSIONALS BEFORE ACTING ON ANY INFORMATION PUBLISHED ON THE SITE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN THOSE JURISDICTIONS, THE EXCLUSIONS ABOVE APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KODEXO LABS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF KODEXO LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS ($100). LIABILITY UNDER EXECUTED ENGAGEMENT TERMS IS CAPPED SEPARATELY UNDER THOSE TERMS AND IS NOT AFFECTED BY THIS PROVISION.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW, INCLUDING LIABILITY FOR DEATH, PERSONAL INJURY, FRAUD, OR FRAUDULENT MISREPRESENTATION.

Indemnification

You agree to defend, indemnify, and hold harmless Kodexo Labs and its affiliates, officers, directors, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising out of or related to:

• Your breach of these Terms
• Your User Content
• Your misuse of the Site
• Your violation of any law or third-party right

We may, at our option and at your expense, assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defence.

Modifications to the Site and these Terms

We may modify, suspend, or discontinue any part of the Site at any time without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Site.

We may also modify these Terms from time to time. When we do, we will update the "Last updated" date at the top and the version number in the footer. If the changes are material, we will post a notice on the Site for at least 30 days before they take effect. Continued use of the Site after the effective date of the updated Terms means you accept them.

The version of these Terms in force at the time of any specific use of the Site is the version that governs that use.

Termination

You can stop using the Site at any time. Sections 5 (Intellectual Property), 6 (User Content), 10 (Marketing Materials, for the rights survival period), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 16 (Governing Law), 17 (Dispute Resolution), 18 (General Provisions), and any other provisions that by their nature should survive, will survive termination.

We may suspend or terminate your access to the Site at any time, with or without notice, if you breach these Terms, if we are required to do so by law, or for any other reason.

Governing law and jurisdiction

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to Section 17, the state and federal courts located in Travis County, Texas have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Site, and you consent to the personal jurisdiction of those courts.

If you reside in the European Economic Area, the United Kingdom, or another jurisdiction whose law grants you a non-waivable right to bring proceedings in your local courts, this Section does not override that right.Dispute resolution and arbitration

Before filing any claim, you agree to first contact us at contact@kodexolabs.com and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved this way.

If informal resolution fails, any remaining dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except where:

• You are a consumer entitled by applicable law to bring proceedings in your local courts
• The dispute concerns the intellectual-property rights of either party (in which case either party may seek injunctive relief in court)
• Either party seeks small-claims-court relief for an eligible matter

The arbitration will be conducted in English, in Austin, Texas, by a single arbitrator. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You and Kodexo Labs each waive any right to a jury trial. You and Kodexo Labs each agree to bring claims only in your or its individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

General provisions

Entire agreement: These Terms, together with the Privacy Policy and any executed Engagement Terms, constitute the entire agreement between you and Kodexo Labs regarding your use of the Site.

Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganisation, or sale of assets, on notice to you.

Force majeure: Neither party is liable for any failure or delay in performance caused by events beyond reasonable control, including acts of God, war, civil unrest, pandemic, government action, internet or utility outages, or natural disasters.

Notices: We may deliver notices to you by email at the address you have provided or by posting them on the Site. Notices to Kodexo Labs must be sent to contact@kodexolabs.com and to the postal address in Section 19.

Headings: Section headings are for convenience and do not affect interpretation.

No agency: Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and Kodexo Labs.
